The U.S. Securities and Exchange Commission has issued new guidance mandating that activist investors disclose the identities of their clients in regulatory filings, a move that challenges long-held secrecy practices in the hedge fund industry.

The U.S. Sec urities and Exchange Commission ( SEC) has issued new guidance requiring activist investors to disclose the identities of their clients in regulatory filings such as 13D filings and proxy statements.

This unexpected move, announced in early July, aims to increase transparency around who is funding shareholder activism campaigns. The changes specifically address the use of special purpose vehicles, sometimes called sidecars, used to finance activist investments. According to the SEC's updated interpretations, if an entity is formed for the purpose of acquiring securities of a specific issuer and engaging in an activism campaign, the identities of the investors in that entity must be disclosed.

Additionally, clients who invest more than $500 in a limited partnership that aims to solicit votes to change board directors are considered participants and must be identified. These rules are part of a broader effort by the regulator to clarify its stance after a particularly busy period for activist investors.

Activist investors, including firms like Elliott Investment Management, Ancora Alternatives and TOMS Capital Investment Management, have been actively pushing companies such as Warner Bros Discovery and Devon Energy for improvements in the first half of 2026. Hedge funds have traditionally resisted disclosing their investor lists, arguing that such secrecy protects their strategies from copycats and preserves their profit potential.

However, target companies argue that knowing who is behind an activist campaign is essential information for mounting an effective defense. The new guidance revives memories of a 2022 episode when Masimo Corp amended its bylaws to force activists to disclose limited partners and other nomination plans. That move sparked outrage among activist investors, though many corporations explored similar bylaws. Masimo later reversed the policy before being acquired by Danaher in 2026.

The SEC's decision to issue the interpretation now is seen as a significant shift, though the agency did not comment on what prompted the timing. According to legal advisers who spoke anonymously, the changes reflect a growing regulatory interest in transparency around the financial backers of activist campaigns. The use of sidecar vehicles has become more common, allowing clients to invest directly in specific targets rather than in a hedge fund's broader portfolio.

While the new disclosure requirements apply to filings that already exist, the clarification that client identities must be included could lead to more public information about the sources of activist capital. Companies targeted by activists may find the additional data useful in evaluating the motivations and alliances of their challengers.

The guidance also serves as a reminder that the rules governing activist disclosures are being actively interpreted and enforced by the SEC, which could affect how future campaigns are structured and executed
